SUMMARY NOTICE OF PENDANCY OF CLASS ACTION, PROPOSED SETTLEMENT OF CLASS ACTION, AND SETTLEMENT FAIRNESS HEARING
TO: ALL PERSONS OR ENTITIES WHO PURCHASED COMMON SHARES OF RELIANT RESOURCES, INC. IN THE INITIAL PUBLIC OFFERING ON APRIL 30, 2001, OR TRACEABLE THERETO, PURSUANT TO THE RELIANT RESOURCES, INC. REGISTRATION STATEMENT AND PROSPECTUS DATED APRIL 30, 2001, FOR THE PERIOD FROM APRIL 30, 2001, THROUGH MAY 14, 2002 (THE "CLASS PERIOD"), AND WHO SUFFERED INJURY IN THE FORM OF LOSSES FROM SUCH PURCHASES ("THE CLASS").
YOU ARE HEREBY NOTIFIED, pursuant to Rule 23 of the Federal Rules of Civil Procedure and an order of the United States District Court for the Southern District of Texas, dated October 18, 2005, that a hearing will be held on January 5, 2006, at 10 A.M., before the Honorable Ewing Werlein, Jr., at the United States District Court, Southern District of Texas, United States District Courthouse, 515 Rusk Avenue, Houston, Texas 77002, for the purpose of determining: (i) whether the proposed Settlement of the above Action for the principal amount of Seventy-Five Million Dollars ($75,000,000) cash, plus accrued interest, should be approved by the Court as fair, reasonable and adequate; (ii) whether an Order of Dismissal and Final Judgment approving the Settlement and dismissing this Action on the merits and with prejudice should be entered; (iii) whether the proposed Plan of Allocation is a fair and reasonable method to allocate settlement proceeds; (iv) whether the application of Plaintiffs' Lead Counsel for an award of attorneys' fees and expenses is reasonable and should be approved; and (v) whether any of the Lead Plaintiffs should be awarded a Stipend (not to exceed $15,000 per Lead Plaintiff) to compensate each Lead Plaintiff for reasonable time, effort and expense relating to the prosecution of this Action.
